Second resolution
(Approval of parent company balance sheet and profit and loss account for the financial year ending 31 December 2008)
The General Meeting, ruling under the conditions of quorum and majority required for ordinary general meetings, after taking cognizance of the reports of the Board of Directors and the Auditors on the financial year ending 31 December 2008, approves the parent company balance sheet as at 31 December 2008 and the parent company profit and loss account for the 2008 financial year prepared in accordance with French accounting standards. It determines net income after tax at EUR 715,484,732.74.

Presentation of the resolutionThe first two resolutions deal with approval of the consolidated and individual financial statements of BNP Paribas for fiscal year 2008, after a reading of the reports from the Board of Directors and the Auditors.
