(Resignation of directors)

The Annual Meeting notes that Paul-Louis Halley and Philippe Jaffré do not wish to renew their terms of office as directors, which expire at the close of this Annual Meeting, and resolves not to replace them.

Presentation of the resolution

In the fifteenth resolution, shareholders are invited to note that Paul-Louis Halley and Philippe Jaffré intend to resign from their positions as directors on the expiry of their terms of office at the close of this meeting, and to resolve not to replace them. If this resolution is approved, the number of directors will be reduced by two and the new Board will be made up of 18 members, including the three elected by BNP Paribas employees.
