Sixth resolution
(Ratification of the appointment of a director)
The Ordinary General Meeting ratifies the Board of Directors' 8 March 2007 appointment of Suzanne Berger Keniston as a director. Suzanne Berger Keniston will replace Loyola de Palacio del Valle-Lersundi for the remainder of the latter's term of office, expiring at the close of the General Meeting to be called in 2008 to approve the 2007 financial statements.
Presentation of the resolution
In the sixth resolution, shareholders are asked to ratify the 8 March 2007 appointment of Suzanne Berger Keniston as a director. Suzanne Berger Keniston will replace Loyola de Palacio del Valle-Lersundi (who passed away on 13 December 2006), for the remainder of the latter's term of office, expiring at the close of the General Meeting to be called in 2008 to approve the 2007 financial statements. Suzanne Berger Keniston, 68, is a US national and a Professor of Political Science at the Massachusetts Institute of Technology in Cambridge. She would be an independent member of the BNP Paribas Board of Directors.
